Fortis Technology General Terms and Conditions of Sale (GTC)

Effective from: 9 May 2026

I. How to place orders

  1. The seller is Fortis Technology Rydzińska Sp. k., with its registered office in Niepruszewo, address: ul. Cisowa 9, 64-320 Niepruszewo, entered in the Register of Entrepreneurs of the National Court Register under KRS number 000403554, registration court: District Court in Poznań – Nowe Miasto i Wilda in Poznań, 8th Commercial Division of the National Court Register, NIP: 7811875724, REGON: 301985833, hereinafter referred to as “Fortis”.
  2. For the purposes of these General Terms and Conditions of Sale, the Buyer shall mean entrepreneurs within the meaning of the Act of 23 April 1964 - the Civil Code, i.e. a natural person, a legal person, or an organisational unit without legal personality to which the law grants legal capacity, conducting business or professional activity in its own name. The provisions of these General Terms and Conditions of Sale shall not apply to Buyers who are consumers within the meaning of the Civil Code.
  3. For the purposes of these General Terms and Conditions of Sale, the following definitions shall apply:
    • “carrier” – a forwarding company cooperating with Fortis in the delivery of goods,
    • “standard offer” – goods included in the Fortis price list,
    • “made to order” – a product ordered or manufactured to the Buyer's special order,
    • “release of goods” – handing over the shipment to the carrier,
    • “goods” – any product ordered by the Buyer.
  4. Orders should be placed with the Regional Manager or the Customer Service Office.
  5. An order is considered complete if it includes: the ordered product code, quantity, selected delivery method, and delivery address together with a phone number in the case of transport organised by Fortis.
  6. In the case of customer collection, the Buyer is obliged to collect the goods within 7 calendar days from the date they are ready for collection. Failure to collect the goods within this period will result in their release for general sale.
  7. All communication regarding order fulfilment takes place through contact with the Customer Service Office.
  8. Placing an order constitutes acceptance of the General Terms and Conditions of Sale.

II. Delivery dates and terms

  1. The release of goods by Fortis takes place at the moment they are handed over to the carrier.
  2. Fortis shall not be liable for damages resulting from delay in the release of goods by Fortis.
  3. Fortis undertakes to release the goods so that the carrier may deliver them to the location indicated in the order within the territory of the Republic of Poland. The place of delivery of the goods by the carrier shall be the location within the territory of the Republic of Poland at the address indicated in the order, and if no such address is indicated, the place of delivery shall be the Buyer's registered office address or the address of its permanent place of business, as indicated respectively in the Register of Entrepreneurs of the National Court Register or the Central Registration and Information on Business of the Republic of Poland.
  4. In the case of customer collection, the Buyer is obliged to notify the driver at least 24 hours before the planned loading. For loadings planned for Monday, notification should be made no later than the Friday preceding the collection date.
  5. If the Buyer provides a vehicle unsuitable for the dimensions of the ordered goods, the Buyer shall bear the costs of cancelling it and providing the correct vehicle.
  6. In the case of customer collection, the Buyer is obliged to check the condition of the collected goods. In the event of shortages or damage, an appropriate report must be prepared with the Fortis warehouse operator.
  7. The release of goods and their delivery take place from Monday to Friday, unless the parties agree otherwise.
  8. If the goods ordered by the Buyer are not part of Fortis's standard offer and require sourcing from a supplier or made-to-order production, the delivery date and final price will be determined individually.
  9. Goods packaging:
    • courier shipments – individually packed in packaging suited to the size of the ordered goods,
    • mobile tanks – Euro pallet measuring 120 × 80 cm,
    • stationary tanks – own base or a pallet with non-standard dimensions.
  10. Transport costs:
    • transport costs are set out in the transport fee table constituting Appendix No. 1 to the GTC,
    • all amounts indicated in the table will be increased by VAT at the rate provided for by tax law,
    • the costs referred to in the table are payable under the terms specified for payment for the goods.

III. Order fulfillment

  1. Fortis has the right to suspend order fulfillment if the required prepayment is not made.
  2. Fortis has the right to suspend fulfillment of all or part of open orders in the event of any overdue payment of required invoices or if the agreed credit limit is exceeded.
  3. Fortis shall not be liable for the Buyer's lost profits. Fortis shall not be liable for third-party claims made against the Buyer.

IV. Payment

  1. Orders are placed based on Fortis's offer and product price list valid on the date the order is placed.
  2. The Buyer and Fortis may agree on a price for specific goods or an order different from the price list.
  3. The Buyer undertakes to pay the price in the amount and within the time agreed in advance with Fortis.
  4. The Parties may agree that payment will be made by prepayment.
  5. The Buyer authorizes Fortis to issue invoices in electronic form.
  6. The date of receipt of payment shall be the date the funds are credited to Fortis's account.

V. Returns

  1. Returns are not accepted unless the Parties agree otherwise in writing under pain of nullity.
  2. Placing an order by the Buyer is equivalent to concluding a sales agreement and to the Buyer's obligation to collect the ordered goods and pay the price under the terms specified in the order, agreement, or invoice.

VI. Complaints

VII. Additional provisions

  1. The Buyer undertakes to notify Fortis of any change of registered address within 5 days of such change occurring.
  2. If any provision of the agreement is found to be unlawful, invalid, or unenforceable under applicable law, such unlawfulness, invalidity, or unenforceability shall not affect the validity of or alter the other provisions of the agreement, which shall remain in full force and effect.
  3. In matters not regulated by this document, the relevant provisions of the Civil Code shall apply.

VIII. Force majeure

  1. In the event of force majeure, Fortis has the right to withdraw from the agreement or postpone the delivery time until the force majeure event has ended. Fortis shall not be liable for non-performance or improper performance of its obligations due to force majeure.
  2. Force majeure on the part of Fortis includes, among other things, any case in which, after the agreement has been concluded, the performance of obligations arising from the agreement is completely or temporarily prevented, for example as a result of fire, water damage, flood, employee strike, factory occupation, import or export restrictions, government actions, power outages, pandemic threats, delays by Fortis suppliers, as well as transport delays or transport disruptions, and all other causes not attributable to Fortis or for which Fortis does not bear the risk.
  3. Fortis is obliged to inform the Customer immediately of the occurrence of force majeure.

IX. Disputes

  1. The agreement with the Customer, to the extent not regulated above, shall be governed by the applicable provisions of Polish law.
  2. The court competent to resolve all types of disputes shall be the common court having jurisdiction over the registered office of Fortis Technology.
